Mike, stay away from this OTC Pink Sheet shtuff....invest in quality.

There's no liquidity in this name and it can be easily manipulated by the pump and dumpers.

Right now the OTC is hot. I never hold them long term, but if you do your homework you can make a killing. Don't know what is up with WTER but it ran nicely last week. Just remember they have 100 million shares out there (actually they are over their authorised by 15 million) and are getting ready to issue another 100 million.

What do these guys have that U.S. Filter/Culligan and Poland Spring don't have? They certainly aren't making any money.

This is literally a penny stock - the 52 week low was one cent per share. Granted you can get a lot of leverage off a buying a lot of cheap shares but this stock moves purely on technicals (again watch out for pump and dump).

Pay attention to the contingent shareholder dilution provisions...here's the 10/K.

in middletown RI was $5.00 or so when I started following it $30.00 today I just guess I dont have a clue how to play with stocks

Mike, you might be onto something here. KVHI is $345 MM in market cap and has analyst coverage (mostly buy ratings). More importantly they have earnings.

Impressive run up in the stock lately - it's trading at 53.4x 2004 consensus EPS of $0.58. That's not cheap by any measure, but this could continue to be a momentum play as earnings estimates (particularly 2005 EPS) are revised upward (as the economic outlook improves).

A little rich for my blood right now.

If you see it dip (when investors take money off the table) and the earnings outlook continues to be favorable, I might buy it.

Weewee....that isn't bad looking at all. The water stuff is comlete junk, but that KVHI has some promise. Like you said - too much money now, but that just made my ticker. I'll start looking at it seriously when it's south of 30. Thanks Macey.

WASHINGTON, Nov 26 (Reuters) - Satellite communications company KVH Industries (KVHI) filed with the Securities and Exchange Commission on Wednesday to periodically sell up to 3 million common shares.

Net proceeds from the offering will be used for general corporate purposes, the company said in a shelf registration statement.

KVH Industries shares traded 2 cents lower Wednesday afternoon at $30.73 on the Nasdaq stock market. MORE

It's a shelf registration.

Everytime a company wants to raise money by selling stock to the public, it has to file its intent to do so with the SEC, along with a lot of other information.

A shelf registration gives a company flexibility by registering stock in advance of when the company might need it - it allows the company to read advantageous market conditions and issue shares accordingly rather than file every time they need the money (there is a waiting period).

Coulda, wouda, shouda, mrmacey! Something fishy is going on with wter. They have had no news for months but the s/p has risen 100's of percentage points. Could be an offshore financier accumulating shares to short against when the impending pump dries up. Once they issue those millions of new shares the s/p is sure to plummet. They would be able to lock in their short position at a very attractive price and insure a huge profit.

Longs - It's our chance to cash out, IMO ...

Just perused latest 10QSB, and learned of Series F
preferred used for CD back in 4/03. Here's the exerpt:

"In April 2003, management authorized the Company to raise up $550,000 through a private placement by issuing 10% two-year convertible preferred instruments. The preferred, designated as Series F, and providing for one million shares in total, will be convertible into shares of Water Chef's common stock at such time as the stockholders of the corporation approve an increase in the authorized capital stock of the corporation. All dividends are payable in shares of the Company's common stock valued at the then current market price per share, or upon conversion, whichever is earlier. The conversion rate for shares and accrued dividends payable is 40 shares of common for each 1 share of preferred stock and dividends payable, or $0.025 for each share of common stock. The Series F convertible preferred stockholders have voting rights equal to the common stockholders. The Series F convertible preferred stock has no stated rights in the assets of the Company upon liquidation."

Once we get our proxies, and approve the authorized increase, the CD holders can convert. As the CEO and company officers control 50% of voting rights, looks like authorized increase is imminent. IMO, run up in price
is the customary increase by CD holders to get a nice high
price to open their short position.

Looking to sell to close my WTER position, so hope this pump
is a good one.
